תנאי שימוש ומכירה — ESLogix

1. כללי
אתר ESLogix והמוצרים והשירותים המוצעים בו מופעלים על ידי ר.מ אינסייד אאוט בע״מ, ח.פ. 515446607. שימוש באתר, רכישת מוצר או הזמנת שירות מהווים הסכמה לתנאים אלה ולמדיניות הפרטיות.
אם הוסכם בינינו לבין לקוח עסקי על הצעת מחיר, הזמנה, הסכם שירות או SLA נפרד, המסמך הנפרד יגבר במקרה של סתירה. הוראות דין קוגנטיות, לרבות זכויות צרכניות שלא ניתן להתנות עליהן, ימשיכו לחול.
2. האתר והמידע בו
אנו משתדלים שהמידע באתר יהיה מדויק ועדכני, אך מפרטים, תמונות, זמינות, מחירים ותכונות עשויים להשתנות. טעות סופר או הצגה טכנית שגויה לא תחייב אותנו, וניצור קשר כאשר שינוי מהותי משפיע על הזמנה.
3. הזמנות, מחירים ותשלום
הזמנה כפופה לאישור, זמינות ותשלום. המחירים אינם כוללים מע״מ, משלוח, התקנה או שירותים נוספים אלא אם צוין אחרת. תנאי התשלום יופיעו באתר, בהצעת המחיר או בחשבונית. אנו רשאים לעכב אספקה או גישה לשירות במקרה של אי-תשלום.
4. משלוחים, ביטולים והחזרות
זמני אספקה הם הערכה ועשויים להשתנות בשל מלאי, ייצור, שילוח, כוח עליון או נסיבות שאינן בשליטתנו. ביטולים והחזרות יטופלו בהתאם לדין החל ולתנאי ההזמנה.
מוצר אלקטרוני שנפתח, חובר, הותקן, תוכנת או הותאם אישית עשוי שלא להיות ניתן להחזרה, למעט במקרה של פגם או כאשר הדין מחייב אחרת. עלויות החזרה ומשלוח יחולו בהתאם לדין ולהסכמה בהזמנה.
5. אחריות למוצרים
תקופת האחריות והיקפה יצוינו בהזמנה או בחשבונית. אלא אם צוין אחרת, האחריות מכסה פגמי ייצור בתקופת האחריות ואינה מכסה נזק עקב התקנה או חיבור שגויים, מתח לא תקין, מים, אש, נפילה, שימוש בניגוד להוראות, שינוי חומרה או קושחה ללא אישור, או תיקון על ידי גורם שאינו מורשה. מימוש אחריות עשוי לדרוש הוכחת רכישה והחזרת המוצר לבדיקה.
6. תוכנה, רישיונות ושירותים מקוונים
תוכנה, קושחה, ממשקי API וחומרי תיעוד ניתנים ברישיון מוגבל, לא בלעדי, בלתי ניתן להעברה ולמטרות העסקיות שהוגדרו. אין להעתיק, למכור, להשכיר, לבצע הנדסה לאחור, לעקוף הגנות, להעניק גישה לצד בלתי מורשה או להשתמש בשירות לפעילות בלתי חוקית, אלא אם הדין מתיר זאת במפורש.
שירות מקוון עשוי להיות כפוף לדמי מנוי, מגבלות שימוש, עדכונים ותחזוקה. איננו מתחייבים לזמינות מוחלטת אלא אם נקבע SLA כתוב.
7. שירותי WhatsApp והודעות
שימוש בממשקי הודעות מחייב את הלקוח:
- לקבל מהנמענים מספר טלפון והסכמה מתאימה לקבלת הודעות.
- לזהות בבירור את העסק השולח ואת תפקידה של ESLogix.
- להשתמש בתבניות מאושרות ובקטגוריה הנכונה כאשר הדבר נדרש.
- לכבד בקשות הסרה, חסימה או הפסקת תקשורת.
- לא לשלוח ספאם, תוכן מטעה, בלתי חוקי או אסור.
- לקיים את תנאי Meta/WhatsApp וכל ספק תקשורת רלוונטי.
אנו רשאים להשעות שליחה או גישה לשירות כאשר קיים חשש להפרת מדיניות, דין, אבטחה או פגיעה באיכות החשבון. אישור תבניות, מסירת הודעות, דירוג איכות, מגבלות וקבלת חשבון נקבעים על ידי ספקי צד שלישי ואינם בשליטתנו.
8. קניין רוחני
כל זכויות הקניין הרוחני באתר, במוצרים, בתוכנה, בבקרים, בעיצובים, בממשקים, בקוד, בתיעוד ובסימני ESLogix שייכות לחברה או לבעלי רישיון שלה. רכישה אינה מעבירה בעלות בקניין רוחני, למעט הזכות המוגבלת להשתמש במוצר או בשירות בהתאם לתנאים.
9. שירותי צד שלישי
השירותים עשויים להשתלב עם שירותי סליקה, ענן, טלפוניה, WhatsApp, Meta, Twilio, מערכות הזמנות או שירותים אחרים. השימוש בהם כפוף גם לתנאי הצד השלישי. איננו אחראים לשינוי, השעיה או תקלה שמקורה הבלעדי בצד שלישי, אך נעשה מאמץ סביר לסייע באבחון.
10. הגבלת אחריות
בכפוף לדין, השירותים ניתנים כפי שהם ובהתאם למפרט שסוכם. לא נהיה אחראים לנזק עקיף, אובדן רווח, אובדן מידע, השבתה עסקית או תביעת צד שלישי שאינם תוצאה ישירה של הפרה שלנו. אחריותנו המצטברת בקשר להזמנה או לשירות לא תעלה על הסכום ששולם לנו בגינם ב-12 החודשים שקדמו לאירוע, למעט כאשר הדין אינו מאפשר הגבלה זו.
11. הפסקת שימוש
אנו רשאים להשעות או לסיים שירות בשל אי-תשלום, שימוש בלתי חוקי, סיכון אבטחה, הפרת מדיניות הודעות או הפרה מהותית של תנאים אלה. ככל שניתן, תינתן הודעה והזדמנות סבירה לתיקון.
12. דין וסמכות שיפוט
על תנאים אלה יחולו דיני מדינת ישראל. סמכות השיפוט תהיה לבתי המשפט המוסמכים במחוז המרכז, בכפוף לזכויות מקום שיפוט קוגנטיות החלות על צרכנים.

Terms of Use and Sale — ESLogix

1. General
The ESLogix website, products, and services are operated by R.M INSIDE OUT LTD, Company No. 515446607. By using the website, purchasing a product, or ordering a service, you agree to these Terms and the Privacy Policy.
If we and a business customer enter into a separate quotation, order form, service agreement, or SLA, that document will control in the event of a conflict. Mandatory legal rights, including consumer rights that cannot lawfully be waived, continue to apply.
2. Website Information
We seek to keep website information accurate and current, but specifications, images, availability, pricing, and features may change. A typographical or technical display error will not bind us, and we will contact you if a material change affects an order.
3. Orders, Prices, and Payment
Orders are subject to acceptance, availability, and payment. Prices exclude VAT, shipping, installation, and additional services unless stated otherwise. Payment terms appear on the website, quotation, or invoice. We may delay delivery or service access for unpaid amounts.
4. Shipping, Cancellation, and Returns
Delivery times are estimates and may change due to inventory, manufacturing, carriers, force majeure, or circumstances beyond our reasonable control. Cancellations and returns are handled under applicable law and the relevant order terms.
Electronic products that have been opened, connected, installed, programmed, or custom-made may not be returnable, except where defective or where applicable law requires otherwise. Return and shipping costs will be allocated in accordance with applicable law and the order terms.
5. Product Warranty
The warranty period and scope will be stated in the order or invoice. Unless stated otherwise, the warranty covers manufacturing defects during the warranty period and does not cover damage caused by incorrect installation or wiring, improper voltage, water, fire, impact, use contrary to instructions, unauthorized hardware or firmware modification, or repair by an unauthorized party. Warranty service may require proof of purchase and return of the product for inspection.
6. Software, Licenses, and Online Services
Software, firmware, APIs, and documentation are licensed on a limited, non-exclusive, non-transferable basis for the agreed business purpose. You may not copy, sell, rent, reverse engineer, bypass protections, grant unauthorized access, or use the services for unlawful activity, except where applicable law expressly permits otherwise.
Online services may be subject to subscription fees, usage limits, updates, and maintenance. We do not promise uninterrupted availability unless a written SLA provides otherwise.
7. WhatsApp and Messaging Services
Customers using messaging interfaces must:
- Obtain recipients’ telephone numbers and appropriate permission to receive messages.
- Clearly identify the sending business and ESLogix’s role.
- Use approved templates and the correct message category where required.
- Honor opt-out, blocking, and discontinuation requests.
- Avoid spam and misleading, unlawful, or prohibited content.
- Comply with Meta/WhatsApp terms and the terms of any applicable communication provider.
We may suspend messaging or service access where we reasonably suspect a policy, legal, security, or account-quality violation. Template approval, delivery, quality ratings, limits, and account acceptance are controlled by third-party providers and are not guaranteed by ESLogix.
8. Intellectual Property
All intellectual-property rights in the website, products, software, controllers, designs, interfaces, code, documentation, and ESLogix marks belong to the Company or its licensors. A purchase does not transfer intellectual-property ownership, except for the limited right to use the product or service under these Terms.
9. Third-Party Services
The services may integrate with payment, cloud, telephony, WhatsApp, Meta, Twilio, booking, or other services. Their use is also subject to third-party terms. We are not responsible for a change, suspension, or failure caused solely by a third party, although we will make reasonable efforts to assist with diagnosis.
10. Limitation of Liability
Subject to applicable law, services are provided as available and in accordance with the agreed specifications. We will not be liable for indirect loss, loss of profit, loss of data, business interruption, or third-party claims that are not the direct result of our breach. Our aggregate liability relating to an order or service will not exceed the amount paid to us for that order or service during the 12 months preceding the event, except where applicable law does not permit this limitation.
11. Suspension and Termination
We may suspend or terminate a service for non-payment, unlawful use, a security risk, violation of messaging policies, or a material breach of these Terms. Where reasonably possible, we will provide notice and an opportunity to remedy the breach.
12. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Israel. Courts of competent jurisdiction in Israel’s Central District will have jurisdiction, subject to mandatory consumer venue rights.
